Dear Client,
We are pleased to confirm our engagement to provide corporate incorporation services on your behalf. This letter sets out the terms and conditions of our engagement. Please read it carefully in its entirety before signing.
1. Nature of Services
Mortacc Solutions Inc. ("Mortacc", "we", "us") agrees to provide the following services to you ("Client", "you") in connection with the incorporation of your company:
- Assessment and recommendation of the appropriate jurisdiction of incorporation;
- Preparation and submission of the articles of incorporation;
- Preparation of initial organizational resolutions;
- Preparation of initial by-laws;
- Preparation of share certificates for initial shareholders;
- Digital delivery of all incorporation documents upon completion; and
- Automated annual return reminders.
These services are administrative in nature. Mortacc Solutions Inc. is not a law firm and does not provide legal advice.
2. Professional Fees and Disbursements
Our professional fees for corporate services are flat-rate and billed per engagement as follows:

Fees are exclusive of applicable taxes (HST/GST/QST). Government filing fees and registry disbursements are billed separately at cost.
3. Client Responsibilities
You agree to provide complete and accurate information, review all draft documents promptly, and notify Mortacc of any errors or changes immediately.
4. Confidentiality
Mortacc agrees to maintain the confidentiality of the information you provide, except where disclosure is required by law or necessary to complete the incorporation.
5. Governing Law
This Engagement Letter is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

Mortacc Solutions Inc. fournit des services administratifs d'incorporation, y compris la préparation et le dépôt des documents constitutifs, les résolutions initiales, les règlements, les certificats d'actions et la remise numérique des documents.
2. Honoraires et débours / Fees and Disbursements
Nos honoraires professionnels sont forfaitaires par mandat : C$500 pour l'incorporation, C$750 pour l'incorporation avec livre de minutes complet, et C$250 pour la préparation du livre de minutes seulement. Les frais gouvernementaux et les taxes applicables sont facturés en sus.
3. Responsabilités du client / Client Responsibilities
Vous devez fournir des renseignements complets et exacts, examiner les documents préparés et signaler toute correction nécessaire sans délai.
